Terms and conditions
for the use of the Schedulify software
Last updated: September 2026
1. Scope and contracting party
These General Terms and Conditions (GTC) apply to all contracts for the use of the Schedulify software, a cloud-based solution for online appointment and room booking. The contracting party is Schedulify GesbR, Badrus 20, 6710 Nenzing, Austria (partners: David Strauß, BSc and Dipl.-Ing. Andreas Olschnögger), hereinafter “Schedulify”. Schedulify's contracting partner is hereinafter referred to as the “customer”. The offer is aimed primarily at companies, municipalities, associations and other organisations. If the customer is a consumer within the meaning of the Austrian Consumer Protection Act (KSchG), these GTC apply only insofar as they do not contradict mandatory consumer protection provisions. Deviating terms of the customer apply only if Schedulify expressly agrees to them in writing.
2. Services, plans and packages
Schedulify provides the customer with the software via the internet for the duration of the contract. The scope of services depends on the plan or package chosen: • Basic and Pro (appointment booking): scope (in particular the number of projects, users and services) as stated on the pricing page at www.schedulify.at valid at the time the contract is concluded. • Enterprise: scope, configuration and additional services (e.g. setup, interfaces, dedicated server) according to an individual offer. • Room booking package: available on its own or as an add-on to Basic, Pro or Enterprise; scope according to an individual offer. • Add-ons (e.g. website package, API connection, additional projects, users or services): according to offer. With Schedulify, the customer can in particular create services, appointments and rooms, define availability and booking rules, manage bookings and publish a booking page or embed it in their website. Bookers (the customer's clients or users) can book appointments and rooms online and receive confirmations by email. Schedulify only provides the technical platform. The contract for a booking is concluded directly between the booker and the customer; Schedulify is not a party to this contract. Schedulify may further develop the software and change features, provided this does not significantly restrict the agreed scope of services.
3. Conclusion of contract
The presentation of the plans on the website does not constitute a binding offer. The contract is concluded when Schedulify confirms the customer's enquiry or order by email or activates access to the software. For Enterprise and the room booking package, the contract is concluded when the customer accepts the individual offer. Where the offer deviates from these GTC, the offer takes precedence.
4. Prices and payment
The prices stated on www.schedulify.at at the time the contract is concluded, or agreed in the offer, apply. All prices are stated in euros. Schedulify is a small business pursuant to § 6 (1) no. 27 Austrian VAT Act (UStG); no VAT is charged. Should Schedulify become liable for VAT in the future, prices for businesses will from then on be subject to statutory VAT; Schedulify will give at least one month’s notice. Basic and Pro are invoiced monthly in advance. Enterprise, the room booking package and add-ons are invoiced according to the offer. Unless agreed otherwise, invoices are payable within 14 days of the invoice date without deduction. If the customer is in default of payment despite a reminder with a grace period of 14 days, Schedulify may suspend access until payment is made in full. Schedulify may change the prices for Basic and Pro with at least one month's notice by email. In this case, the customer may terminate the contract before the change takes effect.
5. Term and termination
Basic and Pro: the contract runs for an indefinite period and can be terminated by either party at the end of the current billing month. Periods already paid are not refunded pro rata. Enterprise and room booking package: term and termination are governed by the individual agreement in the offer. In the absence of such an agreement, the rules for Basic and Pro apply accordingly. Notice of termination can be given by email to kontakt@schedulify.at or via the contact form (topic “Cancel subscription”). The right to terminate for good cause remains unaffected. After the end of the contract, the customer's data is deleted or, on request, returned in accordance with section 12.
6. Customer obligations
The customer uses Schedulify only for its intended purpose and in accordance with applicable law and these GTC. In particular, the customer is responsible for: • the accuracy, completeness and timeliness of all content entered and published in Schedulify (e.g. services, rooms, times, descriptions, prices); • correct and complete information during registration and use; • preventing misuse, in particular storing or publishing unlawful content; • meeting the technical requirements (e.g. an up-to-date browser, internet connection). The customer keeps their access credentials secret and protects them from access by third parties. The customer is responsible for all activities carried out with their credentials and informs Schedulify immediately if credentials are lost or misused.
7. Availability and support
Schedulify aims for an average annual availability of the software of 99.0%. Planned maintenance windows and outages beyond Schedulify's control (e.g. force majeure, disruptions of the public internet) are excluded. Support is available on business days (Monday to Friday, excluding Austrian public holidays) from 8:00 am to 6:00 pm by email to support@schedulify.at. Response times within support hours: • critical incidents (core functions unusable): 2 hours • major incidents (use restricted): 4 hours • minor incidents: 12 hours Different service levels may be agreed for Enterprise.
8. Rights of use
For the duration of the contract, Schedulify grants the customer a non-exclusive, non-transferable right to use the software within the scope of the booked plan and these GTC. Any further use, in particular reproduction, distribution, modification, decompilation or reverse engineering, is not permitted.
9. Data protection and data security
Data is stored on servers in Germany and processed in compliance with the General Data Protection Regulation (GDPR) and the Austrian Data Protection Act (DSG). The customer is the controller within the meaning of the GDPR for the personal data of bookers; Schedulify processes this data as a processor (see section 12). The customer properly informs bookers about the data processing and obtains their consent where required. Schedulify takes appropriate technical and organisational measures to protect data against loss, destruction and unauthorised access and performs regular backups.
10. Payments by bookers
Schedulify may offer a connection to payment service providers (e.g. Stripe) through which bookers pay the customer. Schedulify only provides the technical interface and does not process payments itself. The use of a payment service is governed exclusively by its terms and privacy policy. Fees of the payment service provider are charged directly to the customer and are not part of Schedulify's services.
11. Cancellation of bookings
Rules for cancellations, withdrawals and refunds of bookings are set solely by the customer, for example in their own terms or in the description of the service or room. Schedulify is not liable for disadvantages arising from cancellations, withdrawals or changes of bookings or from disputes between the customer and bookers.
12. Data processing (Art. 28 GDPR)
12.1 Subject matter and duration This section governs the processing of personal data by Schedulify (processor) on behalf of the customer (controller) when providing the services. It applies for the duration of the contract. 12.2 Nature and purpose of processing Recording, storing and managing bookings, sending confirmations and reminders, evaluations for the customer, invoicing, and support and maintenance. Data subjects: bookers or clients of the customer and, where applicable, the customer's employees. Categories of data: name, contact details (e.g. email address, phone number), booking data (service or room, time, duration), user IDs and, where applicable, payment and billing data. 12.3 Obligations of Schedulify • processing only on documented instructions from the customer; • obliging all authorised persons to confidentiality; • appropriate technical and organisational measures pursuant to Art. 32 GDPR; • supporting the customer with requests from data subjects and with its obligations under Art. 32 to 36 GDPR; • notifying the customer without undue delay of personal data breaches; • deleting or returning the data within 90 days after the end of the contract unless statutory retention obligations apply; • demonstrating compliance with these obligations on request. 12.4 Sub-processors Schedulify uses sub-processors based in the EU for hosting and sending emails. The customer receives the current list on request. Schedulify informs the customer in advance of planned changes; the customer may object for important data protection reasons.
13. System emails
In the course of use, Schedulify sends in particular the following emails to the customer: • confirmation of the email address upon registration; • code for resetting the password (valid for 30 minutes); • notice if an account already exists for the email address; • invoices.
14. Right of withdrawal for consumers
If the customer is a consumer within the meaning of the KSchG and the contract was concluded at a distance, the customer may withdraw from the contract within 14 days of its conclusion without giving reasons, pursuant to § 11 of the Austrian Distance and Off-Premises Contracts Act (FAGG). A clear statement (e.g. by email or letter) to Schedulify GesbR, Badrus 20, 6710 Nenzing, Austria, kontakt@schedulify.at is sufficient for withdrawal. If the consumer expressly requests that Schedulify begins providing the service before the withdrawal period expires, the consumer must pay a proportionate amount for the services provided up to the withdrawal.
15. Warranty
For consumers, the statutory warranty provisions apply, in particular the Austrian Consumer Warranty Act (VGG) for digital services. Schedulify provides the updates required for this, in particular security updates. For businesses, the presumption of defectiveness under § 924 ABGB is excluded. Defects must be reported without delay after their discovery.
16. Liability
Schedulify is only liable for damage caused intentionally or through gross negligence. Liability for slight negligence is excluded; this does not apply to personal injury. In addition, the following applies to businesses: liability is limited to the fees paid by the customer to Schedulify in the twelve months before the event causing the damage. Liability for lost profits, indirect and consequential damage is excluded. Schedulify is only liable for data loss to the extent that the damage would also have occurred if the customer had properly backed up their data. Schedulify is not liable for damage resulting from improper use or for content published by the customer.
17. Changes to these GTC
Schedulify may amend these GTC with effect for the future. Changes are communicated to the customer by email at least one month before they take effect. The customer may terminate the contract before the change takes effect. For consumers, changes only apply insofar as they are reasonable or the consumer agrees to them.
18. Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law. The place of jurisdiction for disputes with businesses is the court with subject-matter jurisdiction for 6710 Nenzing. For consumers, the statutory places of jurisdiction apply. Declarations may be made by email. Should any provision of these GTC be invalid, the validity of the remaining provisions remains unaffected. The German version of these GTC is legally binding; this English version is a courtesy translation. Schedulify GesbR Badrus 20, 6710 Nenzing, Austria kontakt@schedulify.at
